The Service Provider agrees to design, develop and deliver software / website / digital product solutions as per the Requirement Document mutually discussed and attached as Annexure A. The Requirement Document signed by both parties shall be considered final and binding for project execution.
The scope of work shall strictly be limited to features, functionalities and deliverables mentioned in the signed Requirement Document. Any additional feature, modification, enhancement or change request after agreement signing shall be treated as separate Paid work and timeline & cost will be revised accordingly.
Timeline may vary depending on: client approval delays, requirement changes, delay in payment, third‑party dependency issues.
1. 30% Advance Payment (Mandatory) – Work begins only after advance payment and signing of this Agreement.
2. Remaining Payment Structure: 40% During Development Milestone, 30% Before Final Delivery / Deployment.
All payments are non‑transferable.
A. Before Project Start: 10% of total project cost deducted as administrative charges, remaining refunded within 15 business days.
B. After Work Started: Advance payment (30%) non‑refundable. Completed work charged proportionately.
C. After Completion: 30% to 50% of total cost may be deducted if client refuses delivery.
The initial 30% advance payment is non‑refundable once project execution has begun.
Full ownership transferred only after 100% payment clearance. Until then all codes/designs remain property of Nexaiverse. Nexaiverse may showcase project in portfolio unless otherwise agreed.
Provide accurate requirements, timely content, approvals within 3–5 working days.
Nexaiverse not responsible for third‑party failures, data loss due to external attacks, or indirect financial losses.
Both parties agree to maintain confidentiality of sensitive project information.
By signing below, both parties confirm they have read, understood and agreed to all terms.
